Search Ohio business names using the Secretary of State business search webpage to verify if a name is reserved or registered in the state. Entities are required to provide an eligible available business name when registering with the state. The search page can also be used to look up known businesses by entity name, agent, owner, prior name, or number.
Ohio Business Registration
Step 1 – Choose Name & Business Structure
A business name must be selected that is not already reserved or registered and that conforms with state guidelines.
Businesses are usually structured as one of the following:
- LLC – The most common; gives the owners liability protection.
- Corporation – Best for businesses that are looking for investors.
Step 2 – Register with Secretary of State
Registering the business can either be accomplished online at Ohio Business Central or by filling out and filing the appropriate forms:
- Corporation (Articles of Incorporation)
- LLC (Articles of Organization)
- Non-Profit (Articles of Incorporation)
The filing fee is $99.
Step 3 – Obtain EIN
The majority of businesses are required to obtain an IRS Employer Identification Number (EIN).
To get an EIN, fill out and submit the application form or complete the filing online.
Step 4 – Register with Dept. of Taxation
Businesses must register to pay taxes in the state with the Department of Taxation.
There are many tax payment filing requirements that vary based on the type of business, including sales and use tax, employee tax withholding, and commercial activity tax.
Step 5 – Additional Steps
- Most businesses are required to obtain an Unemployment Tax Employer ID.
- Certain businesses are required to obtain licenses and permits to operate. Consult the Licenses & Permits webpage for information.
- New employees hired by the business must be reported to Ohio New Hire Reporting Center.
